1. Agreement

These Terms of Service (“Terms”) are a binding agreement between [COMPANY LEGAL NAME / OPERATOR] (“Rolyio”, “we”, “us”) and the person or organization using the Rolyio service at rolyio.com (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

2. The Service

Rolyio lets teams share and synchronize contacts across Google Workspace and Microsoft 365 accounts, including cross-ecosystem sharing (e.g., a contact owned in a Google account shared with recipients using Outlook, and vice versa). The Service connects to your Google and/or Microsoft account via OAuth and operates on your contacts through the Google People API and Microsoft Graph API. Rolyio does not store a copy of your address book; your contacts remain hosted by your provider, as described in our Privacy Policy.

Beta status. The Service is under active development and provided on a best-effort basis. No service level agreement (SLA) is offered or guaranteed. Features may change, and interruptions may occur.

3. Accounts and Access

• You sign in exclusively via Google or Microsoft OAuth. You are responsible for the security of your Google/Microsoft account.
• You must provide access only to accounts you are authorized to connect. Connecting an organization’s directory or granting Microsoft tenant-wide admin consent requires appropriate authority within your organization.
• You may disconnect your account in the app or revoke Rolyio’s access in your Google or Microsoft security settings at any time.

4. Your Data

• As between you and Rolyio, you (or your organization) own the contact data processed through the Service.
• You grant Rolyio permission to access, read, and write your contact and directory data via the Google and Microsoft APIs solely to provide the sharing and synchronization features you configure.
• Processing of personal data is described in our Privacy Policy and Data Deletion and Retention Policy. For organizational contact data, your organization is the data controller and Rolyio is a data processor.
• You are responsible for ensuring you have the right to share the contacts you share (including under your organization’s policies and applicable privacy law).

5. Acceptable Use

You must not:

• Use the Service to send spam or unsolicited communications, or to harvest contact data for spamming, resale, or marketing lists
• Access or share contacts or directory data you are not authorized to access
• Abuse, probe, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure
• Use the Service in violation of applicable law, Google’s or Microsoft’s terms, or third parties’ rights
• Resell, sublicense, or provide the Service to third parties as your own offering without our written consent
• Reverse engineer the Service except where permitted by law

We may suspend or terminate accounts that violate this section, with notice where practicable.

6. Plans, Fees, and Billing

• Free tier: a free plan is available with limited features and/or usage.
• Paid subscription: USD $2 per user per month billed annually, or USD $3 per user per month billed monthly. Prices exclude applicable taxes unless stated otherwise.
• Billing is handled by Paddle acting as merchant of record (planned). Your purchase is also subject to Paddle’s terms, and Paddle handles payment processing, invoicing, and applicable taxes.
• Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time, effective at the end of the current billing period; no further charges will be made after cancellation.
• Refunds: if the Service materially fails to function and we cannot remedy it within a reasonable time, or if you were charged in error, contact support@rolyio.com within 30 days of the charge and we will issue a refund or credit. Otherwise, fees are non-refundable except where required by law or by Paddle’s buyer policies.
• We may change prices with at least 30 days’ notice; changes take effect at your next renewal.

7. Third-Party Services

The Service depends on Google and Microsoft APIs and your accounts with those providers. Your use of Google Workspace and Microsoft 365 is governed by your own agreements with Google and Microsoft. Rolyio is not responsible for those providers’ availability, API changes, or actions, though we will make reasonable efforts to adapt to API changes.

8. Intellectual Property

Rolyio and its software, design, and branding are owned by [COMPANY LEGAL NAME / OPERATOR] and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SYNCHRONIZED DATA WILL ALWAYS BE ACCURATE OR AVAILABLE. YOU SHOULD MAINTAIN YOUR OWN BACKUPS OF IMPORTANT CONTACT DATA WITH YOUR PROVIDER.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
• ROLYIO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR, FOR FREE-TIER USE, USD $50).

Nothing in these Terms excludes liability that cannot be excluded by law (e.g., for intentional misconduct or gross negligence where non-excludable).

11. Indemnity

You will indemnify Rolyio against third-party claims arising from your breach of Section 5 (Acceptable Use) or from contact data you shared without authorization, to the extent permitted by law.

12. Termination

• You may stop using the Service and delete your account or organization in-app at any time. Data deletion follows our Data Deletion and Retention Policy.
• We may suspend or terminate the Service for breach of these Terms, for non-payment, or if we discontinue the Service; for discontinuation we will give at least 30 days’ notice where practicable.
• Sections that by their nature should survive (including 8–11 and 13–14) survive termination.

13. Changes to These Terms

We may update these Terms from time to time. For material changes we will give notice (by email or in-app) at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your account before the changes take effect.

14. Governing Law and Disputes

These Terms are governed by the laws of [JURISDICTION], and disputes are subject to the courts of [JURISDICTION], except where mandatory law provides otherwise.

15. Miscellaneous

These Terms, together with the Privacy Policy and any order made through Paddle, are the entire agreement between the parties regarding the Service. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
